By creating an account, accessing, or using the SurveyGauge platform, services, and related advisory services (collectively the "Services"), you agree to be bound by these Terms. If you enter into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
SurveyGauge is a B2B customer experience (CX) platform that combines software, administration, and advisory services in one integrated solution. The Services include:
To use the Services, the Customer must create a company account. The Customer designates one or more administrators who may create additional users with varying access levels (Administrator, Standard).
The Customer is responsible for keeping login credentials confidential and for all actions taken through the Customer's accounts. The Customer must immediately notify SurveyGauge if unauthorized access is suspected. Passwords must be at least 6 characters and are never stored in plain text.
Customers with API access are responsible for the secure storage of API keys. API keys are scoped to the individual company account and can be configured with an expiry date. SurveyGauge reserves the right to deactivate API keys if misuse is suspected.
The Customer warrants that use of the Services will comply with all applicable legislation, including GDPR and other relevant data protection laws. The Customer is responsible for ensuring a valid legal basis for the collection of personal data through surveys distributed via the platform.
The Customer is the data controller for personal data that the Customer uploads to or collects through the platform (contact lists, survey responses, CRM data). The Customer warrants that they have a lawful basis for processing such data and for appointing SurveyGauge as a data processor.
The Customer is responsible for all content in surveys, emails, and communications distributed through the platform. The Customer must not use the Services to send spam, misleading content, or content that infringes third-party rights.
SurveyGauge endeavours to keep the platform available around the clock. SurveyGauge is entitled to perform scheduled maintenance and will, to the extent possible, notify the Customer in advance. SurveyGauge does not guarantee uninterrupted access and is not liable for downtime caused by circumstances beyond SurveyGauge's control, including but not limited to AWS provider failures, network outages, or force majeure.
Support is provided via email (hello@surveygauge.com) and phone (+45 32 35 11 01) during normal Danish business hours (Monday - Friday 9:00 - 16:00 CET), unless otherwise agreed in the individual subscription agreement.
SurveyGauge processes data on behalf of the Customer in accordance with the executed data processing agreement and applicable data protection legislation. See our Privacy Policy for further details.
The Services are provided as an ongoing subscription. The scope, price, and terms for each subscription are set out in the individual subscription agreement between the Customer and SurveyGauge.
Invoicing occurs according to the agreed billing frequency. Payment is made by bank transfer based on the issued invoice. Payment terms are net 14 days from the invoice date unless otherwise agreed in writing.
SurveyGauge reserves the right to change prices with a minimum of 30 days' written notice before a new subscription period. The Customer is entitled to terminate the agreement if the price change is not accepted.
In the event of late payment, default interest will be charged in accordance with the Danish Interest Act. SurveyGauge is entitled to suspend the Customer's access to the Services if payment is overdue by more than 30 days.
All software, source code, design, documentation, methodology, and other content constituting the Services belongs to SurveyGauge ApS or its licensors and is protected by copyright and other intellectual property legislation. The Customer obtains solely a non-exclusive, non-transferable right to use the Services during the subscription period.
The Customer retains ownership of all data uploaded to or generated through the platform, including contact lists, survey content, and responses. SurveyGauge obtains no ownership rights to Customer data.
SurveyGauge is entitled to use anonymised and aggregated data across customers for benchmarking, product development, and statistical purposes, provided that such data cannot be attributed to a specific customer or respondent.
Both parties commit to treating all information received from the other party as confidential, to the extent such information is not publicly available or was already known to the recipient. The confidentiality obligation applies during the subscription period and for 2 years after termination of the agreement.
The agreement may be terminated by either party with the notice period set out in the individual subscription agreement. Termination must be in writing.
SurveyGauge may terminate the agreement with immediate effect if the Customer materially breaches these Terms, including repeated unauthorized use, non-payment exceeding 30 days, or use of the Services for unlawful purposes.
Upon termination of the agreement:
The Services are provided "as is" and "as available". SurveyGauge does not warrant that the Services will be error-free, uninterrupted, or fit for a particular purpose.
SurveyGauge's total liability to the Customer is in all cases limited to the amount paid by the Customer to SurveyGauge in the 12 months preceding the event giving rise to the claim.
SurveyGauge is not liable for indirect losses, consequential damages, loss of data (beyond SurveyGauge's obligations under the data processing agreement), loss of business, loss of goodwill, or lost profits.
Neither party is liable for failure to perform caused by circumstances beyond the party's reasonable control, including natural disasters, war, pandemic, power outages, internet provider failures, or subcontractor failures.
SurveyGauge may amend these Terms with a minimum of 30 days' written notice via email to the Customer's registered contact person. Continued use of the Services after the notice period constitutes acceptance of the amended Terms. In the event of material changes, the Customer is entitled to terminate the agreement before the new terms take effect.
These Terms are governed by Danish law. Any dispute arising from or in connection with these Terms shall first be sought resolved through negotiation. If the dispute cannot be resolved amicably, it shall be settled by the Danish courts with the Court of Kolding (Retten i Kolding) as the agreed venue.
